Before setting up Padman Advisory,  Eleanor held the role of General Counsel and Company secretary in various ASX Listed financial services businesses.  Eleanor has over 24 years' experience gained in private practice and in-house.  Eleanor combines excellent technical abilities with a strong commercial approach and a focus on promoting sound risk management and good corporate governance.   Eleanor is recognised for her intellectual ability, integrity, focus and tenacity.

Eleanor is a Fellow of the Governance Institute of Australia and a Graduate of the Australian Institute of Company Directors.   Eleanor has acted as a director and company secretary of multiple companies and has also served as a member on several statutory compliance committees.  During her time at Perpetual, Eleanor was the Chair of Trust Company (Sydney Airports) Limited, an ASX listed entity that is part of the Sydney Airports' stapled trust structure.  Eleanor has also served as a director on a Not-For-Profit foundation.

As General Counsel, Eleanor has significant experience of managing a range of issues that a business typically encounters, including the following:

• Mergers and acquisitions, sales of businesses, joint ventures and shareholder agreements - domestic and off shore

• Capital markets : IPOs, secondary raisings such as share purchase plans, placements and rights issues

• Takeover bids - both as target and as bidder

• Litigation and dispute resolution, class actions and Ombudsman claims

• Managing responses to regulators - ASIC, APRA, ASX - including Royal Commissions and statutory notices

• AFSL compliance and all aspects of financial services law and advice

• Commercial contracts with third parties - IT arrangements, leases, insurance, builders, architects, fit outs and relocation

• Employment and workplace relations issues - performance management, redundancies, summary terminations, workplace investigations

As Company Secretary, Eleanor has expertise and experience in complex governance issues, including:

• ESG and sustainability reporting, including integrated reporting and Modern Slavery Statements

• board performance evaluation 

• board succession planning

• appointments and resignation of CEOs and C-Suite Executives

• engagement with the ASX and ASX Listing rule compliance

• shareholder engagement - annual report, AGM, corporate governance statement

• creation of new companies and de-registration of existing subsidiaries
